ServiceNow's Debt and Interest Costs Jump: Is Cash Flow Enough?
Read MoreHide Full Article
Key Takeaways
ServiceNow's debt hit $7.52 billion after acquisition-led expansion, including the $7.6 billion Armis deal.
ServiceNow faces refinancing exposure from $2.1 billion of commercial paper with just 62 days remaining.
NOW's $822 million quarterly free cash flow and $6.96 billion liquidity cushion its higher debt burden.
ServiceNow (NOW - Free Report) is carrying a significantly higher debt and interest burden following its acquisition-led expansion, raising concerns about profitability and financial flexibility. Total debt climbed to $7.52 billion as of Sept. 30, 2026, from $1.49 billion at the end of 2025, comprising $5.44 billion in long-term borrowings and $2.09 billion in short-term debt.
The increase largely reflects financing associated with the $7.6 billion Armis acquisition. In May, ServiceNow issued $4 billion of fixed-rate senior notes to refinance an acquisition-related term loan. It also had $2.1 billion of commercial paper outstanding, carrying a weighted-average interest rate of 4.05% and a remaining term of just 62 days, creating refinancing exposure.
The earnings impact is already visible. Third-quarter interest expense surged to $81 million from $6 million a year earlier, while interest income declined to $69 million from $115 million. Net income fell to $277 million from $502 million, although acquisition-related costs also contributed to the decline.
Still, ServiceNow has meaningful offsets. Cash and marketable securities totaled approximately $6.96 billion, complemented by an undrawn $3 billion revolving credit facility. Third-quarter free cash flow reached $822 million, while subscription revenues increased 21% to $3.99 billion. The company also raised its full-year free cash flow margin outlook to 36%.
Overall, robust recurring revenues and liquidity appear sufficient to absorb the higher financing costs for now. However, consistent cash generation and the successful integration of acquired businesses will be crucial for managing the debt burden and addressing refinancing risks.
How Are ServiceNow's Competitors Positioned?
Salesforce (CRM - Free Report) is pushing directly into ServiceNow's IT service management market through Agentforce IT Service, alongside its established CRM and customer-service offerings. Salesforce reported more than 180 customer selections for the platform by February 2026, underscoring growing competitive overlap. With Agentforce annual recurring revenues exceeding $1.5 billion in the second quarter of fiscal 2027, Salesforce could intensify pricing pressure and compete for enterprise AI automation budgets.
Microsoft (MSFT - Free Report) challenges ServiceNow through Dynamics 365 Customer Service, Power Platform and Copilot Studio, targeting enterprise workflows, low-code automation and AI agents. Microsoft's integrated productivity, cloud and business-applications ecosystem provides a formidable distribution advantage and could encourage customers to consolidate suppliers. However, Microsoft also partners with ServiceNow on AI governance and workflow integrations, making the relationship competitive and complementary rather than purely adversarial.
